Since its founding, Minn-Dak Farmers Cooperative (the “Company”) has been committed to ethical business practices, honesty, fair dealing and full compliance with all laws affecting the Company's business. Our Code of Business Conduct makes it abundantly clear that each employee and Board member is responsible for conducting themselves in such a way as to preserve our standards and values.
 
The following Corporate Governance Items (“Guidelines”) have been adopted by the Board of Directors (the "Board") of the Company to assist the Board in the exercise of its responsibilities to the Company and its shareholders. These Guidelines should be interpreted in the context of all applicable laws and the Company's Certificate of Incorporation, Bylaws and other corporate governance documents, and are intended to serve as a flexible framework within which the Board may conduct its business, and not as a set of legally binding obligations.
